By accessing and using NoteSkrib ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

NoteSkrib provides a web-based platform for organizing notes, videos, projects, tasks, and calendar events. The Service includes features such as AI-powered summaries, YouTube video integration, project management, and collaborative tools.

The Service also includes a Chrome browser extension (NoteSkrib Clipper) that allows you to capture web content directly to your account.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. User Content

You retain all rights to the content you create, upload, or share through the Service ("User Content"). By using the Service, you grant NoteSkrib a worldwide, non-exclusive, royalty-free license to use, store, and display your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• Your User Content does not contain illegal, harmful, or offensive material

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful, threatening, abusive, or offensive content
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Impersonate any person or entity

6. Intellectual Property

The Service and its original content, features, and functionality are owned by NoteSkrib and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. Third-Party Services

NoteSkrib uses third-party services for authentication and functionality. Your use of these services is subject to their respective terms of service and privacy policies:

• Google OAuth: For authentication when signing in with your Google account
• YouTube: For video content integration
• OpenAI: For AI-powered content analysis
• Stripe: For payment processing
• Supabase: For database and authentication services

By using these third-party services through NoteSkrib, you agree to comply with their respective terms and policies.

8. Subscription and Payments

Some features of the Service may require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate payment information
• Authorize us to charge your payment method for recurring subscriptions

Subscriptions automatically renew unless cancelled before the renewal date. Refunds are provided according to our refund policy.

9. Termination and Account Deletion

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by:

• Going to Settings → Account and clicking "Delete Account"
• Contacting us at support@noteskrib.com to request account deletion

Upon account deletion, all your data will be permanently removed from our systems within 30 days, including any data obtained through Google OAuth or other third-party authentication services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTESKRIB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Data Backup

While we implement reasonable backup procedures, you are responsible for maintaining your own backups of your User Content. We are not liable for any loss or corruption of your data.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.
